go into program files, there should be two folders - one called MSN Messenger and another called Messenger. The Messenger one is the old version, just delete the .exe in this folder

That's Windows Messenger, comes with XP.

The fastest and safest way to remove Windows Messenger:

1) Click Start button
2) Click Run
3) Copy and paste this command into the Run dialog

RunDll32 advpack.dll,LaunchINFSection %windir%\INF\msmsgs.inf,BLC.Remove

4) Reboot and Windows Messenger is removed cleanly.

Sure if you go to Start > Run and get the msconfig thing up you can select not to run that Windows Messenger on startup :)
